The Distributed Renewables team (EDR) is seeking a highly motivated, creative, results-oriented attorney to join the team as a Senior Attorney. This role will have a broad range of responsibilities to help support and facilitate a rapidly growing business. The Senior Attorney position will be responsible for providing legal support to all aspects of the Distributed Renewables business entity, including origination, project development, project M&A, construction and financing. The position will report directly to the Head of Legal, Distributed Renewables and is open to the Chicago, IL, Houston, TX and Oakland, CA areas. What you'll do:

  • Develops and executes comprehensive legal strategies and solutions to facilitate EDR's and its affiliates' commercial objectives while mitigating any associated legal risk.
  • Drafts and negotiates a variety of commercial agreements (e.g. Confidentiality Agreements, Power Purchase Agreements, Leases, Supply Agreements, EPC Agreement) and other agreements to support the development team's activities.
  • Identifies and helps resolve legal issues and areas of risk.
  • Reviews title work, identify and helps resolve title issues and oversee issuance of title insurance.
  • Assists with review and negotiations of finance agreements, including tax-equity finance and debt, and support activities related to financial closings including facilitation of investor due diligence and review of closing documents.
  • Ensures that all agreements comply with the ENGIE company policies.
  • Develops and maintains templates to support EDR's activities.
  • Support the acquisition of solar and storage projects.
  • Research and provide guidance on State and Federal laws and regulations that are relevant to the development teams' activities, including all tax, energy and environmental, labor, construction and privacy laws as well as all State incentive programs
  • Provides legal support related to the structuring of transactions, joint ventures and partnership financing structures.
  • Supervise external counsel to ensure high-quality and efficient work product. What you bring:
    • JD from an ABA accredited law school required
    • Must be licensed to practice law in one of the fifty (50) United States.
    • 10 years or more of law firm and/or in-house experience in the US power sector.
    • Commercial contracting experience in the renewable energy field with an emphasis on distributed generation, including solar and energy storage, preferred.
    • Real estate, permitting, construction and M&A experience also preferred
    • Excellent drafting and commercial skills
    • Being familiar with, and demonstrate responsibility for a range of structured finance transactions
    • Technical and legal (and other) risk awareness skills
    • Demonstrating experience with innovative deals and structuring
    • Articulating firm's governance and risk policies
    • Transaction and project management skills
